INTRODUCTION

These Terms and Conditions ("Terms") govern the use of Opus Investment Management Inc.'s ("Opus") services, including its investment management platform, affiliate partnership program, and related activities.

ARTICLE 1: DEFINITIONS

1.1 "Opus" means Opus Investment Management Inc., a wholly-owned subsidiary of The Hanover Insurance Group.

1.2 "Client" means an individual or entity that opens an account with Opus.

1.3 "Investor" means an individual or entity that invests in Opus's investment products.

1.4 "Affiliate" means an individual or entity participating in Opus's Affiliate Partnership Program.

1.5 "Referral" means an introduction of a potential client or investor to Opus.

*ARTICLE 2: INVESTMENT MANAGEMENT SERVICES*

2.1 Opus provides investment management services to clients, including portfolio management, research, and advisory services.

2.2 Opus offers various investment strategies, including Capital Preservation & Income, Short Broad Market, Intermediate Broad Market, Investment Grade Core, Passive Equity, and Equity Transition Strategy.

2.3 Opus may use various investment instruments, including stocks, bonds, ETFs, mutual funds, and cryptocurrencies.

ARTICLE 3: AFFILIATE PARTNERSHIP PROGRAM

3.1 Opus's Affiliate Partnership Program allows affiliates to earn rewards by referring investors to Opus's investment platform.

3.2 Affiliates must meet eligibility requirements, including being an existing client, partner, or accredited investor.

3.3 Affiliates will receive a unique referral link or code to track referrals.

3.4 Referral rewards will be paid based on the referred investor's management fee.

ARTICLE 4: CLIENT AGREEMENT

4.1 Clients agree to provide accurate and complete information.

4.2 Clients agree to comply with all applicable laws and regulations.

ARTICLE 5: INVESTOR AGREEMENT

5.1 Investors agree to meet minimum capital requirements for investment plans.

5.2 Investors agree to provide accurate and complete information.

5.3 Investors agree to comply with all applicable laws and regulations.

ARTICLE 6: AFFILIATE AGREEMENT

6.1 Affiliates agree to promote Opus's services ethically and professionally.

6.2 Affiliates agree to comply with all applicable laws and regulations.

ARTICLE 7: PAYMENT TERMS

7.1 Opus will pay referral rewards to affiliates quarterly, monthly, or weekly.

7.2 Opus will deduct management fees from client accounts.

ARTICLE 8: CONFIDENTIALITY

8.1 Opus will maintain confidentiality of client and investor information.

8.2 Opus will not disclose confidential information without consent.

ARTICLE 9: INTELLECTUAL PROPERTY

9.1 Opus retains all intellectual property rights.

9.2 Clients, investors, and affiliates may not use Opus's trademarks without permission.

ARTICLE 10: TERMINATION

10.1 Opus may terminate affiliate participation at any time.

10.2 Termination will not affect existing referral rewards.

ARTICLE 11: DISPUTE RESOLUTION

11.1 Disputes will be resolved through arbitration.

11.2 Arbitration will be conducted in accordance with Governing laws.

ARTICLE 12: GOVERNING LAW

12.1 These Terms will be governed by and construed in accordance with State/Federal laws.

ARTICLE 13: CHANGES TO TERMS

13.1 Opus may modify these Terms at any time.

13.2 Clients, investors, and affiliates will be notified of changes.

ARTICLE 14: ACCEPTANCE

By using Opus's services or participating in the Affiliate Partnership Program, clients, investors, and affiliates acknowledge and agree to these Terms.

By using Opus's services or participating in the Affiliate Partnership Program, clients, investors, and affiliates acknowledge that they have read, understand, and agree to these Terms.
